Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the XC Scribe platform ("Service"), operated by THE XTRACODE DOO BEOGRAD - ZVEZDARA, a company registered in the Republic of Serbia, with registered address at Jovanke Radakovic 88, 11000 Belgrade, Serbia, PIB: 111706611 ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

2. Description of Service

XC Scribe is a software-as-a-service (SaaS) platform that provides AI-powered product description generation, content management, and e-commerce store synchronization. The Service allows users to import product data, generate optimized content using artificial intelligence, review and approve generated content, and publish it to connected e-commerce platforms including Shopify, WooCommerce, and Magento 2.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

The Service offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis. Each plan includes a monthly allocation of XCT (XC Tokens) which are used to generate content. Unused subscription tokens expire at the end of each billing cycle.

Additional tokens ("top-ups") may be purchased separately and do not expire during an active account. If your account is terminated or suspended under Section 11 of these Terms, any remaining top-up tokens will be forfeited and are non-refundable. Pricing for all plans and top-ups is available on our pricing page.

Payment processing is handled by Paddle.com Market Ltd ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles billing, tax collection, invoicing, and payment processing on our behalf. By purchasing a subscription or top-up, you also agree to Paddle's Terms of Service.

Refund and cancellation terms are described in our Refund Policy. Please review it before making a purchase.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to it
  • Resell, redistribute, or sublicense access to the Service without our prior written consent
  • Use automated means to access the Service beyond the intended API usage

6. Intellectual Property

Content generated through the Service using your product data belongs to you. The Service itself, including its software, design, trademarks, and documentation, is the intellectual property of THE XTRACODE DOO BEOGRAD - ZVEZDARA and is protected by applicable intellectual property laws.

You grant us a limited license to process your uploaded data solely for the purpose of providing the Service.

7. AI-Generated Content and Third-Party AI Providers

Content produced by the Service is generated by artificial intelligence and may contain inaccuracies, errors, or inconsistencies. You are solely responsible for reviewing, editing, and approving all generated content before publishing it to your store or any other platform. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.

Third-Party AI Provider Disclosure: To provide AI-powered content generation, your product data (including product names, descriptions, attributes, and other data you submit) is transmitted to and processed by third-party AI model providers. The Service allows you to choose which AI provider processes your data. Currently supported providers include:

We may add, change, or remove supported AI providers at our discretion. By selecting a provider and using the Service, you acknowledge and consent to your data being transmitted to and processed by that provider in accordance with their respective terms of service and privacy policy.

We do not sell your data to AI providers. Your data is transmitted solely for the purpose of generating the content you request through the Service.

8. Data Processing and Privacy (GDPR)

We process your personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable. We act as the data controller for personal data you provide when registering and using the Service.

Legal basis for processing: We process your data on the following grounds:

  • Contract performance — to provide the Service you have subscribed to
  • Legitimate interests — for service improvement, security, and fraud prevention
  • Legal obligation — where required by applicable law (e.g., tax and accounting records)
  • Consent — for marketing communications, where required

Your rights: If you are located in the European Economic Area (EEA) or another jurisdiction with applicable data protection rights, you have the right to:

  • Access the personal data we hold about you
  • Request correction of inaccurate data
  • Request deletion of your personal data ("right to be forgotten")
  • Request restriction of processing
  • Data portability
  • Object to processing based on legitimate interests

Data retention: We retain your account data for as long as your account is active and for a reasonable period thereafter, or as required by law. Product data submitted for content generation is not retained beyond what is necessary to fulfill your request.

9. Service Availability and Force Majeure

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

We shall not be liable for any failure or delay in providing the Service caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, civil unrest, government actions, power or internet outages, third-party infrastructure failures, or the unavailability or outage of third-party AI model providers or other upstream services that the Service depends upon. In such events, we will make reasonable efforts to restore the Service as soon as practicable.

10. Limitation of Liability

To the maximum extent permitted by applicable law, THE XTRACODE DOO BEOGRAD - ZVEZDARA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Termination

You may terminate your account at any time by canceling your subscription and contacting us. We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Upon termination of your account for any reason, unused subscription tokens and any remaining top-up token balances will be forfeited and are non-refundable, except where required by applicable law or our Refund Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Belgrade, Serbia.
